I. Binding Legal Agreement and Regulatory Compliance
By accessing, browsing, or utilizing the digital infrastructure located at www.qrealestategroup.ca (the "Site"), you, the User, hereby acknowledge and provide your irrevocable acceptance of these Terms of Service. This Site is operated by Q Real Estate Group (the "Brokerage"), which maintains strict adherence to the Trust in Real Estate Services Act (TRESA) in Ontario under the jurisdiction of the Real Estate Council of Ontario (RECO), and the Real Estate Act of Alberta under the Real Estate Council of Alberta (RECA). The User acknowledges that mere access to the Site constitutes a valid and binding contract between the User and the Brokerage. We reserve the unilateral right to amend, modify, or restate these Terms in perpetuum. Continued engagement with the Site following such modifications constitutes a renewal of consent and ratification of the revised terms.
II. Intellectual Property and Moral Rights Waiver
All proprietary materials, including but not limited to metadata, listing enhancements, and architectural Site design, are the exclusive property of the Brokerage or its licensors and are protected under the Copyright Act of Canada. The User is granted a limited, non-sublicensable, and revocable license for personal, non-commercial use only. In the event the User submits, transmits, or posts any "User Generated Content" (UGC), the User hereby grants the Brokerage a royalty-free, perpetual, irrevocable, and worldwide license to exploit said UGC. Crucially, the User hereby irrevocably waives all "Moral Rights" (droit moral) in and to such contributions in favour of the Brokerage. This waiver ensures that the Brokerage may alter, translate, or adapt the content without further attribution or compensation, effectively insulating the Brokerage against claims of integrity or paternity under the Copyright Act.
III. Limitation of Fiduciary Duty and Disclaimer of Liability
The User expressly acknowledges that use of this Site does not constitute the formation of a client-brokerage relationship, nor does it create a fiduciary duty, agency, or "sub-agency" between the User and any licensed registrant. Such relationships are solely established through a dually executed Written Representation Agreement. All listing data provided via the Data Distribution Facility (DDF®) or IDX feeds are provided "As-Is" and "As-Available." To the fullest extent permissible by the laws of Ontario and Alberta, the Brokerage disclaims all warranties, express or implied, including but not limited to the accuracy of property valuations or market trends. Q Real Estate Group, its directors, officers, and employees shall not be liable for any incidental, consequential, or punitive damages arising from the User's reliance on Site information, which is intended for educational purposes only and not as legal or financial advice.
IV. National and Global Privacy Protection (PIPEDA, PIPA, and Law 25)
The Brokerage operates as a "custodian" of personal information in strict compliance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and the provincial Personal Information Protection Acts (PIPA) of British Columbia and Alberta. For residents of Quebec, the Brokerage further adheres to the stringent requirements of Law 25, ensuring data portability and the right to de-indexation. In accordance with Canada’s Anti-Spam Legislation (CASL), the User provides express consent to receive Commercial Electronic Messages (CEMs) via SMTP (email) and SMS (text) protocols. The User may revoke this consent via the mandated opt-out mechanisms, which the Brokerage shall facilitate within ten (10) business days. We utilize cryptographic security measures to safeguard data; however, the User accepts all inherent risks of digital transmission.
V. Indemnification and Jurisdictional Mandate
The User agrees to indemnify, defend, and hold harmless Q Real Estate Group, its parent corporations, and its independent contractors from any and all liabilities, damages, and legal expenses (including solicitor-and-client costs) arising from the User's breach of these Terms or infringement of third-party intellectual property. This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario (or the Province of Alberta, as applicable) and the federal laws of Canada. Any dispute arising hereunder shall be resolved through binding arbitration in the home jurisdiction of the Brokerage, and the User hereby waives any right to participate in a class-action lawsuit or trial by jury. If any provision is deemed unenforceable by a court of competent jurisdiction, such provision shall be severed without prejudice to the validity of the remaining articles.
VI. Notice and Notice Regime
In compliance with the Canadian "Notice and Notice" regime, the Brokerage shall act as a conduit for claims of copyright infringement. Upon receipt of a valid notice, the Brokerage will forward the claim to the relevant User and maintain a record of the transaction for the statutory six-month period. Any inquiries regarding data access, rectification, or privacy complaints should be directed in writing to the Privacy Officer at [email protected].
VII. Supplemental Article: Full Indemnification and Solicitor-and-Client Cost Recovery
The User hereby covenants and agrees to indemnify, defend, and hold harmless Q Real Estate Group, its parent corporations, subsidiaries, affiliates, and their respective directors, officers, employees, registrants, independent contractors, and successors (collectively, the "Indemnified Parties") from and against any and all manner of actions, causes of action, suits, debts, covenants, contracts, claims, and demands whatsoever, including all legal fees and disbursements, arising out of or in connection with: (i) the User’s breach of any representation, warranty, or covenant contained in this Agreement; (ii) the User’s unauthorized or unlawful use of the Site or its metadata; or (iii) any content, data, or User-Generated Content (UGC) uploaded to the Site by the User that infringes upon the proprietary or privacy rights of a third party.
The User expressly acknowledges and agrees that the indemnity provided herein shall include the reimbursement of all legal fees and administrative costs incurred by the Indemnified Parties on a "Solicitor-and-Client" basis (alternatively referred to as a "Full Indemnity" basis). This shall encompass the recovery of all actual legal costs, disbursements, and applicable taxes incurred by the Brokerage in defending against any claim, including those deemed by a court of competent jurisdiction to be frivolous, vexatious, or otherwise lacking in merit. The User’s obligation to indemnify shall survive the termination of this Agreement and the cessation of the User's access to the Site.
In the event of a Third-Party Claim, the Brokerage reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by the User, in which case the User shall cooperate fully with the Brokerage in asserting any available defenses. Furthermore, the User hereby waives any right to contest the reasonableness of legal fees incurred by the Brokerage in the enforcement of this indemnity, provided such fees are billed at standard professional rates commensurate with the complexity of the litigation. This clause is intended to ensure that the Brokerage remains "whole" and is not subjected to any pecuniary loss resulting from the User's engagement with the Site or breach of these Terms.
